Professional background

I have focused my professional activity on Tax, Corporate Law and M&A. Thanks to the advantages of my dual background in law and business administration, I have developed strong expertise in advising corporate groups and private clients in financial, tax and corporate matters (including business acquisitions and disposals).

My extensive experience in both Tax Law and Corporate/M&A has enabled me to stand out in corporate transactions, restructurings and family business matters, as well as in complex commercial operations such as mergers and acquisitions, company dissolutions, and family protocols and shareholders’ agreements.

I have deep knowledge of matters involving significant tax and corporate components, including issues related to directors’ remuneration, and I have strong expertise in statutory relationships and shareholders’ agreements. Over the years, I have designed complex and bespoke guarantees in business sale transactions, and I have become an expert in strategic planning to remove control situations in order to avoid consolidation, always in line with client objectives.

I define myself as a corporate lawyer with a complementary perspective thanks to my business training and tax knowledge, which provides significant added value.

A large part of my career has been linked to the real estate sector, where I also stand out for my understanding of the complexities of real estate registry law and of indirect taxation applicable to the sector (VAT, Transfer Tax and Stamp Duty).

I have also collaborated with finance departments to negotiate transactions and agreements with financial institutions involving swaps and financial derivatives.

I currently serve on the Steering Committee of the ICAB Master’s in Business Law and I am a member of the Commercial Law Section of ICAB, as well as the Spanish Association of Tax Advisors (AEDAF).

At Fieldfisher, in addition to creating both the Tax and Corporate Departments, I have drafted successive versions of the firm’s bylaws and supported several practice areas, including Banking Litigation and M&A.
