Our experience

Guinea-Conakry: We advised a historical shareholder in connection with the sale of its stake in SOGEDI (former Air Liquide subsidiary), an operator in the industrial gases sector. This included vendor due diligence, negotiations with several potential buyers, and corporate and contractual documentation related to the sale transaction.

    Ghana: The team assisted a European investor in connection with the acquisition of a majority stake in a football club in Ghana. This involved drafting of the shareholders' agreement and the amended articles of association. 

    Senegal, Mauritius: We advised a private gold mining, exploration and development company in the structuring of intra-group relations (services agreements, mining agreements, tax optimisation).

      Mali: Our team provided assistance to Valiant Integrated Services and VIS Mali (a local subsidiary). We provided tax assistance to this international US Group (catering for military forces on the continent) to negotiate and obtain tax exemption under the MINUSMA international agreement which encourages international groups to be active in Mali for the state reconstruction.

      Chad: We assisted a Cameroon renewable energy group to structure a joint venture with a major player in Chad the renewable energy sector for a 150 megawatt solar farm.

      Mauritius: We advised GreenWish Partners in their renewables (solar) production projects for 20-50MW through the restructuring of their activities around an intermediary holding in Mauritius.

      Senegal: Our team advised a financial investor shareholder in connection with the creation of a company operating in the plastic recycling sector and other related activities (notably bio-diesel) and its early stage financing. This involved drafting corporate and contractual documentation, as well as financial documentation.
