Advising an occupier client taking a lease of offices including an Agreement for Lease, Lease, Licence for Alterations and Bank Guarantee
Advising an occupier client taking a lease of offices including an Agreement for Lease, Lease, Licence for Alterations and Bank Guarantee. The transaction was complicated by the need to deal with 3 superior landlords and their guarantors. We subsequently advised the client on a surrender of their lease and negotiation of a lease of a larger area within the building, including provision for landlord works to create the demise; our clients subsequent fit out and construction contract. We then advised the client on an assignment of their lease and the grant of a new Lease, with Rent Deposit Deed and Licence for Alterations in relation to new central London premises. We have since assisted the client with various landlord and tenant queries and in relation to possible underletting.
Acting on the development and forward funding of a large redundant government complex in west London.
Acting on the development and forward funding of a large redundant government complex in west London. This transaction commenced with the purchase of the freehold interest in the site from the Secretary of State followed by the grant of an Agreement for Lease to a well-known hotel operator, conditional on the developer obtaining planning permission for hotel use and discharging all overage owed to the former owner. The impact of the COVID-19 pandemic induced changes in the hotel sector, which led to a further planning application being made to change one part of the hotel offering to a PBSA scheme. Fieldfisher implemented a complete restructuring of the land interests to facilitate separate forward fundings of the hotel and PBSA elements to institutional investors. At the time of its completion, the PBSA forward funding was the UK's largest ever forward funding in the student sector.
Advising a US investor on the transfer of a number of "seed" warehouse/industrial properties in to a newly formed $1bn investment fund
Advising a US investor on the transfer of a number of "seed" warehouse/industrial properties in to a newly formed $1bn investment fund, the provision of debt funding secured on the assets of the fund, and a series of acquisitions of warehouse/logistic buildings by the fund over a period of 24 months. The initial seeding process required dealing with the legal due diligence requirements of the equity and debt funders into the fund and the preparation and negotiation of transfer, security and ancillary documents required to effect the transfer to the fund of the initial portfolio of properties. We also acted for the fund on a series of acquisitions of a number of additional logistics/warehouse/industrial assets at a time when investor appetite for assets in this sector was very keen requiring the acquisition and associated funding transactions to be completed in aggressive time frames.
